What does the Board do?

LAMH is a charity and company limited by guarantee. As such all board members have statutory duties to ensure the company complies with the requirements of OSCR and company law and operates within the values of the organisation. This includes working positively as a team to make honest and open decisions on:

  • Polices
  • Finance and Expenditure
  • Staffing and Disciplinary matters
  • Recruitment
  • Co-opting new board members and electing office bearers
  • Appointing bankers / auditors / accountants
  • Delegating responsibility for the operation of the Memorandum & Articles of the Association
  • Existing services and strategic direction of future services
  • Promoting the ethos of LAMH and its work

The Board work closely with the senior management team ensuring all of the above are professionally and diligently carried out for the overall good of the organisation.

Directors Rights and Responsibilities

  • To attend meetings and come on time.
  • To get support from each other.
  • To have respect for each other.
  • To feedback information to relevant groups/staff and service users timeously and appropriately.
  • To receive induction about organisation, roles and legal responsibilities.
  • To receive ongoing training as required.
  • To openly declare at all times when any potential conflict of interest arises.

Meetings

  • Second Wednesday of month at Wishaw office for 1-2 hours.
  • Chaired by Chairperson.
  • Minutes issued 1 week before date of next meeting
  • Pre-set agenda with time for any other relevant matters.
  • If you are unable to attend please telephone Wishaw office.
  • Failure to attend 3 consecutive meetings without apologies will result in dismissal from the Board.
  • Travel expenses will be paid.
  • Tea, coffee and cold drinks will be provided.

HOW TO JOIN

  • Contact Wishaw offi ce to get a role description information sheet and person specifi cation.
  • You will be asked to complete a nomination for election form that will be considered by the Board at a meeting or AGM for provisional acceptance.
  • We will contact you to arrange for you to meet with some Board members. We can than discuss and agree

with you the next steps for your further involvement.
